These Terms of Service ("Terms") govern your access to and use of the Carmic platform, including the Carmic mobile applications for iOS and Android (the "Mobile App"), the Carmic desktop application for Windows (the "Desktop App"), and the Carmic web portal at carmicai.com (the "Web Portal"), all provided by Phlite Software LLC ("Carmic," "we," "us," or "our," and collectively, the "Service").
By creating an account, downloading any Carmic application, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity by other authorized users within your organization. You agree to notify us immediately at support@carmicai.com if you suspect unauthorized access.
You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
Carmic accounts may support multiple authorized users within the same organization (e.g., technicians, estimators, managers at a repair shop). The account owner is responsible for managing access and for the actions of all authorized users on the account.
You own your Content. Carmic does not claim ownership of any photographs, voice recordings, repair file data, customer information, annotations, documents, or other Content you create, upload, or store through the Service. Your Content is yours.
By using the Service, you grant Carmic a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and process your Content solely for the purpose of providing the Service to you. This license includes:

When you share a repair file, generate a report for a customer or insurance company, send an email or SMS notification, or invite team members, you are directing Carmic to make that Content accessible to the specified recipients. You are responsible for ensuring you have the right to share such Content and that sharing complies with all applicable laws, regulations, and third-party rights, including customer privacy obligations.
Your repair files may contain personal information about your customers (names, contact information, vehicle information, insurance details). You are the data controller of this customer information and are responsible for:

This section describes how Carmic handles OEM procedures and other copyrighted reference materials. It is important that you read and understand this section.
Carmic's AI Features assist you in comprehending and executing OEM repair procedures, position statements, technical service bulletins, and other manufacturer-published reference materials. Carmic uses cutting-edge AI technology to help you understand, interpret, and apply these materials in the context of a specific repair on a specific vehicle.
Carmic does not:
OEM procedures and third-party copyrighted reference materials accessed through or processed by the Service are used exclusively as work product within individual repair files belonging to your account, for specific repairs on specific vehicles. This use constitutes application of professional reference materials in the ordinary course of performing vehicle repair work — the same way a technician would consult a manufacturer's repair manual while working on a vehicle.
You are responsible for ensuring that your use of OEM procedures and third-party reference materials within the Service complies with the licensing terms of those materials and applicable copyright law. Carmic provides AI-powered tools to assist with comprehension and execution of these materials; Carmic does not grant you any license to the underlying third-party content itself.

The Mobile App includes augmented reality (AR) features that enable spatial annotation and measurement of real-world objects using your device's camera, motion sensors, and LiDAR (where available).
Measurement Disclaimer. Carmic AR measurements are approximate and are provided for documentation and informational purposes only. Measurement accuracy depends on device hardware capabilities, environmental conditions (lighting, surface texture), AR tracking quality, and user technique. A confidence score (0.0 to 1.0) is provided with each measurement set reflecting the system's assessment of reliability.
Measurements should not be relied upon as the sole basis for engineering, structural, safety-critical, or legally binding decisions. Always verify critical measurements with calibrated physical instruments.
The Service includes AI-powered features for tag suggestion, visual damage classification, severity assessment, estimate analysis, document extraction (VIN, customer info, insurance details), OEM procedure comprehension, voice transcription, and natural-language descriptions.
AI Disclaimer. All AI-generated outputs — including tags, classifications, severity assessments, descriptions, cost estimates, estimate analyses, document extractions, and OEM procedure interpretations — are automated suggestions produced by machine learning models. They may contain errors, omissions, or inaccuracies.
AI outputs are not a substitute for professional inspection, assessment, or judgment. You are responsible for reviewing, verifying, confirming, or rejecting all AI-generated content before relying on it in any documentation, report, insurance claim, supplement, work order, or customer communication. Carmic does not guarantee the accuracy, completeness, or fitness of AI-generated content for any particular purpose.
Speech-to-text transcription is provided by automated systems (both on-device and cloud-based) and may contain errors, particularly with technical terminology, accented speech, background noise, or low-quality audio. You are responsible for reviewing transcriptions for accuracy before relying on them.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, infrastructure issues, or circumstances beyond our control. Core capture features (photo, AR markout, voice recording, measurement) function offline on the Mobile App and Desktop App. Cloud sync, AI Features, and real-time notifications require network connectivity.
We may release updates to the Service from time to time, including new features, bug fixes, security patches, and platform updates. Some updates may be applied automatically. Continued use of the Service after an update constitutes acceptance of the updated version.
The Service may offer both free and paid subscription tiers. Current plan details and pricing are available at carmicai.com or within the App. We reserve the right to modify plans and pricing with 30 days' advance notice.
Paid subscriptions are billed in advance on a monthly or annual basis through the applicable app store (Apple App Store, Google Play Store) or directly via our payment processor. By subscribing, you authorize recurring charges at the then-current rate until you cancel.
You may cancel your subscription at any time through your app store account settings, through the Service, or by contacting us. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the end of the period you have already paid for. Refunds are handled in accordance with the applicable app store's refund policy, or on a case-by-case basis for direct subscriptions.
We may change subscription prices with at least 30 days' notice. Price changes apply at the start of your next billing cycle after the notice period. If you do not agree with the new pricing, you may cancel before it takes effect.
The Service, including its software, user interface design, logos, trademarks, algorithms, documentation, and all related intellectual property, is owned by Phlite Software LLC and is protected by copyright, trademark, patent, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other right, title, or interest is granted.
Certain features of the Service, including the AR spatial annotation and AI-powered region classification system, are the subject of pending patent applications. "Patent Pending" designations indicate that patent protection has been sought.
"Carmic," "Carmic AI," the Carmic logo, and other Carmic product names and marks are trademarks of Phlite Software LLC You may not use these marks without our written permission.
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Carmic a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate the Feedback into the Service without obligation to you.

The Service integrates with third-party services (AI model providers, speech-to-text services, cloud storage, payment processors, email and SMS delivery services). Your use of these integrations may be subject to those third parties' own terms. Carmic is not responsible for the availability, accuracy, or practices of third-party services.
The Service may facilitate access to third-party content including OEM repair procedures, industry reference materials, and position statements. Carmic does not claim ownership of such third-party content and provides access to it only as a tool to assist you in your professional repair work. The accuracy, completeness, and applicability of third-party content is the responsibility of its respective publishers.
The Service may contain links to third-party websites or services. We are not responsible for the content or practices of linked sites.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CARMIC DOES NOT WARRANT THAT: (a) the Service will be uninterrupted, error-free, or secure; (b) AR measurements will be accurate; (c) AI-generated tags, classifications, descriptions, analyses, or cost estimates will be correct; (d) voice transcriptions will be error-free; (e) OEM procedure interpretations will be complete or applicable to your specific vehicle or situation; or (f) the Service will meet your specific requirements.
CARMIC IS A DOCUMENTATION AND WORKFLOW TOOL. The Service assists professionals in documenting, organizing, and communicating vehicle repair information. It is not a substitute for professional training, manufacturer certification, or expert judgment. Repair decisions should always be made by qualified professionals.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARMIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
CARMIC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO CARMIC IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED DOLLARS ($100).
Without limiting the above, Carmic shall not be liable for:
Some jurisdictions do not allow limitations on incidental or consequential damages. In such jurisdictions, the above limitations apply to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless Phlite Software LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Content, including customer data stored in your repair files; (c) your violation of these Terms; (d) your violation of any third-party right, including intellectual property, privacy, or confidentiality rights; (e) any claim arising from repair work performed using documentation or analysis generated through the Service; (f) your use or misuse of OEM procedures or third-party copyrighted materials accessed through the Service; or (g) any claim that your Content or your use of the Service caused damage to a third party.
You may stop using the Service and delete your account at any time through the Service settings or by contacting support@carmicai.com.
We may suspend or terminate your access to the Service if: (a) you violate these Terms; (b) your use poses a security risk to the Service or other users; (c) we are required to do so by law; (d) your account has been inactive for an extended period; or (e) we discontinue the Service. We will provide reasonable notice when possible, except in cases of Terms violation or security risk.
These Terms are governed by and construed in accordance with the laws of the State of [STATE], United States, without regard to conflict of law principles.
Before filing any formal dispute, you agree to contact us at legal@carmicai.com and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in [CITY, STATE]. The arbitrator's decision shall be final and binding. Judgment upon the award may be entered in any court having jurisdiction.
YOU AND CARMIC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Notwithstanding the above: (a) either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights; and (b) claims within the jurisdiction of small claims court may be brought in small claims court.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Carmic regarding the Service and supersede all prior agreements, understandings, and representations.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Carmic's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or your rights under them without our written consent. Carmic may assign these Terms in connection with a merger, acquisition, or sale of assets, provided your data remains subject to the then-current Privacy Policy.
We may modify these Terms at any time by posting updated Terms on the Site. Material changes will be communicated via in-app notification or email at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service before the changes take effect.
Carmic shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including natural disasters, war, terrorism, pandemic, labor disputes, government actions, internet or telecommunications failures, third-party service outages, or power outages.
We may provide notices to you via email, in-app notifications, push notifications, or posting on the Site. Notices to Carmic should be sent to legal@carmicai.com or by mail to our address below.
You agree to comply with all applicable export control laws and regulations in your use of the Service. You represent that you are not located in, or a national or resident of, any country subject to U.S. trade sanctions.
